  • Buyer Confidentiality & Non-Disclosure Agreement

  • WHEREAS, Jordan Practice Advisors, Inc., hereafter referred to as “JPA” agrees to furnish
  • hereafter referred to as “Buyer”, certain confidential information relating to the sale of dental practice represented by JPA, hereafter referred to as “Practice”;

    WHEREAS, Buyer agrees to review, examine, inspect or obtain such confidential information only for the purposes described above, and to otherwise hold such information confidential and disclose said information to no one pursuant to the terms of this Agreement, except bona fide third party advisors.

    BE IT KNOWN, that JPA has or shall furnish to Buyer, certain confidential practice information and may further allow said person the right to discuss or interview representatives of the Practice on the following conditions:

    1. Buyer, agrees to hold confidential or proprietary, any information ("confidential information") in trust and confidence and agrees that it shall be used only for the contemplated purpose of purchasing said practice, shall not be used for any other purpose, or disclosed to any third party, except Buyer’s attorney, spouse, CPA, or consultant.

    2. At the conclusion of any discussions, review, proofing, or upon demand by JPA or owner of Practice, all confidential information, including projections, valuations, inventories, financial information, and records shall be returned to JPA.

    3. Confidential information shall not be disclosed to any employee, family member other than spouse, or third party of Buyer or any proposed third party, unless they agree to execute and be bound by the terms of this Agreement, and have been approved by JPA or the owner of Practice. Dentistry is a very small world, and any innocent disclosure of this potential sale by an informed family member or other informed third party could cause irreparable harm to both parties to this agreement, particularly the Seller. It is therefore stressed that all information regarding this potential sale be kept in the highest confidence, even to immediate family members (who may tell others).

    4. In the event of a breach of this Agreement, the parties agree that the Seller shall have a right to seek and obtain immediate injunctive relief against Buyer, as well as any other remedy which shall be available to the Seller.

    5. This Agreement and its validity, construction and effect shall be governed by the laws of North Carolina.
